1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ListingAI Pro ("Company," "we," "us," or "our") governing your access to and use of the ListingAI Pro platform and services (collectively, the "Service").

By creating an account or using the Service, you confirm that you are at least 18 years old, have the legal capacity to enter into these Terms, and agree to be bound by them. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

ListingAI Pro is a subscription-based software-as-a-service (SaaS) platform that uses artificial intelligence to generate property listing descriptions for real estate professionals. The Service includes:

  • AI-powered property description generation
  • Multiple listing templates and styles
  • Account management and history features
  • Customer support via email

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your password and account credentials
  • Promptly update your account information if it changes
  • Accept responsibility for all activity that occurs under your account
  • Notify us immediately at webservicenapit@gmail.com of any unauthorized use

We reserve the right to terminate or suspend accounts that violate these Terms or for any other reason at our sole discretion.

4. Subscriptions and Billing

Subscription Plans. We offer Free, Pro ($29/month), and Team ($79/month) plans. Plan features and pricing are described on our Pricing page.

Billing Cycle. Paid subscriptions are billed monthly in advance on the date you subscribe. By subscribing, you authorize us to charge your designated payment method on a recurring monthly basis.

Price Changes. We may change subscription prices with at least 30 days' advance notice. Continued use after the effective date constitutes acceptance of the new pricing.

Taxes. Prices are exclusive of applicable taxes. You are responsible for any sales, use, or similar taxes based on your location.

Failed Payments. If a payment fails, we may suspend your account until payment is resolved. We will notify you via email.

5. Cancellation and Refunds

Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.

Refund Policy. We offer a 7-day money-back guarantee for first-time subscribers. If you are not satisfied within 7 days of your initial payment, contact us at webservicenapit@gmail.com for a full refund. After 7 days, all payments are non-refundable. For full details, see our Refund Policy.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You must not:

  • Use the Service to generate fraudulent, misleading, or deceptive real estate listings
  • Violate any applicable laws, including real estate advertising regulations
  • Attempt to reverse engineer, copy, or reproduce the underlying technology
  • Use automated tools to scrape, crawl, or abuse the Service
  • Share your account credentials with third parties
  • Resell or sublicense the Service without our written consent
  • Interfere with or disrupt the integrity or performance of the Service

Violation of this section may result in immediate account termination without refund.

7. Intellectual Property

Your Content. You retain ownership of all property information you input into the Service and all listing descriptions generated for you. By using the Service, you grant us a limited, non-exclusive license to process your input data solely to provide the Service.

Our IP. The Service, including its software, design, trademarks, and technology, is owned by ListingAI Pro and protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of our IP to you.

8. AI-Generated Content Disclaimer

The listing descriptions generated by the Service are produced by artificial intelligence and are provided for informational purposes only. We do not guarantee that generated content is:

  • Accurate, complete, or error-free
  • Compliant with fair housing laws, MLS rules, or local advertising regulations
  • Suitable for any particular listing or market

You are solely responsible for reviewing, editing, and ensuring compliance of all generated content before use. We strongly recommend consulting applicable real estate regulations in your jurisdiction.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE FREE FROM ERRORS OR INTERRUPTIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LISTINGAI PRO AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless ListingAI Pro and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

13. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes via email or a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately and without notice if you materially breach these Terms. Upon termination, your right to use the Service ceases immediately. Sections 7, 9, 10, 11, and 12 survive termination.
